1. General Trading Framework
These Terms of Service ("Terms") govern the access to and use of physical oil, gas, and refined petroleum product offerings facilitated by DreamsMore Oil & Gas ("Company"). By submitting a Request for Quote (RFQ) or engaging in trade desk communications, the client ("Buyer") acknowledges and accepts these terms.
All listings of cargo capacities, vessel names, routes, and ETAs shown on the website are for illustrative and commercial positioning purposes. Binding operational terms are only established in final Sales & Purchase Agreements (SPA) executed formally by authorized signatories of both parties.
2. Sourcing and Quality Assurance
All petroleum cargoes offered by DreamsMore Oil & Gas are sourced from verified terminals and suppliers. Before cargo transfer or marine charter loading:
- An independent, internationally recognized inspection agency (such as SGS, Intertek, or Saybolt) will be chartered to perform quality assays and quantity measurements.
- Assay reports issued by the certified inspection agency at the loading port shall constitute the definitive assessment of cargo quality and specification, unless otherwise agreed in writing.
3. Letters of Credit and Payment
Unless explicitly structured otherwise in the SPA, all transactions must be secured by an irrevocable, transferable, or non-transferable Letter of Credit (LC) or Standby Letter of Credit (SBLC), issued or confirmed by a top-tier global bank acceptable to the Seller.
4. Compliance & Anti-Money Laundering (AML)
Both parties agree to operate in full compliance with the rules and guidelines set forth by the Central Bank of Nigeria (CBN), international trade law, and applicable maritime regulations. The Company strictly prohibits any transactions involving sanctioned entities, ports, or vessels under Office of Foreign Assets Control (OFAC) or international embargo lists.
5. Governing Law
These Terms, as well as any non-contractual obligations arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of the website use or preliminary RFQ inquiries shall be resolved under the jurisdiction of Nigerian courts.
